1. Written engagement
BRIGANTE WAY LLC provides business-to-business media buying and marketing consulting. These terms describe the general framework used in proposals and apply to a paid engagement only when incorporated into an accepted written agreement. The signed agreement controls if it conflicts with this page.
2. Scope and deliverables
The proposal specifies included services, channels, deliverables, responsibilities, timing, reporting cadence and any exclusions. Additional channels, production, website development or work beyond the agreed scope require written approval and may change fees and schedules.
3. Fees, invoicing and taxes
Quotes identify service fees in USD unless another currency is agreed. Payment dates, deposits, milestones and recurring billing, if any, are stated in the proposal or invoice. Applicable taxes and approved third-party costs are identified separately. This website does not collect online payments.
4. Advertising budgets
Ad spend is separate from management and consulting fees unless expressly included in writing. The agreement specifies whether the client pays platforms directly or authorizes another arrangement. Any authority to spend, budget cap, change process and reconciliation must be agreed before launch. BRIGANTE WAY LLC does not provide banking, deposit-taking or investment services.
5. Client responsibilities
Clients provide accurate business information, appropriate access, lawful offers and rights to supplied assets. Clients are responsible for their products, claims, prices, fulfillment, website notices and required approvals. Delays in access, assets or approvals may affect timelines. Sensitive credentials should be shared through an agreed secure method, not the website form.
6. Accounts, access and approvals
Client-owned accounts and role-based access are the preferred working arrangement. Account ownership, permissions, billing access, content approval and campaign-change authority are documented. Major scope or budget changes require the authorization set out in the engagement.
7. Performance and platform decisions
Advertising outcomes depend on market conditions, competition, budgets, creative, websites, attribution and platform systems. No specific revenue, profitability, ranking, lead volume or return on ad spend is guaranteed. Platforms control ad approval, auction delivery and account enforcement. We cannot guarantee platform decisions or uninterrupted availability.
8. Reporting and measurement
Metrics are reported using agreed sources and available data. Differences between platforms, consent settings, attribution windows, tracking restrictions and delayed conversions can affect reported results. Reports should be interpreted with their time period, spend and measurement limitations.
9. Confidentiality and personal data
Each party should protect nonpublic business information received for the engagement and use it only for the agreed purpose, subject to lawful disclosures. If the work requires processing personal information on the client’s behalf, the parties must agree the relevant instructions, access controls and data-processing terms before such processing.
10. Work product and third-party rights
The proposal identifies ownership and usage rights for deliverables, pre-existing materials and third-party assets. No transfer of advertising platform or third-party intellectual property is implied. Rights to paid deliverables and handover requirements are governed by the signed agreement.
11. Term, cancellation and disputes
Start dates, minimum terms, renewals, termination notice, refunds and handover are stated in the agreement. The cancellation and refund policy explains how requests are handled. Concerns should be raised promptly by email. Contractual remedies, liability provisions and dispute arrangements are those agreed in writing, subject to applicable law.
